Board Meeting Minutes - September 19, 2013

Present:

  • Tim Love (Reid Hospital & Health Care Services)
  • Aubrey Blue (Cope Environmental Center)
  • David Burton (Burton & Simkin)
  • Brad Glover (First Bank Richmond)
  • Jane Holman (Executive Director, WayNet.org, Ex-Officio)

Call to Order:

President Jenie Lahmann called the meeting to order at 12:05 p.m. in the Richmond Community Schools Administration Building.

President's Report

Jenie opened the meeting with interesting facts about WayNet, the value of WayNet to everyone in our community, and mentioned a special thanks to Dudley Fetzer and Bill Pendley for their years of service. We will miss both of them! She also introduced our newest Board member, Brad Glover from First Bank. We are pleased to have Brad join WayNet and hope to add one more person to the vacant position remaining. A huge thank you goes to Jane Holman for her leadership and efforts above and beyond to make WayNet such a huge success!

Old Business:

The May 16, 2013, minutes were reviewed. Beth Fields and David Burton did attend our May meeting so the minutes were approved as amended with these changes. Rob Tidrow made the motion and Beth Fields seconded the motion. It passed unanimously.

Presentation of Slate of Nominees and Election of Offices:

Board Members for 2013-2015 term:

The slate of nominees is as follows:

  • Jennie Lahmann
  • Randy Baker
  • David Burton
  • Rob Tidrow
  • Richard Peterson
  • Brad Glover
Jenie called for a motion to approve the slate of nominees. Gary Arndts made the motions and Tim Love seconded. All were in favor.

Officers for 2013-20145 term:

The following is the slate of officers for the 2013-2014 term:

  • Jenie Lahmann, President
  • Pam Merchanthouse, Vice-President/Treasurer
  • Beth Fields, Secretary
Gary made a motion to approve the slate and David seconded the motion. All were in favor.

Open Board Position

We have one position open for the 2013-2014 term. Discussion was held on possibilities for this position. Please let Jane Holman know if you have any suggestions.

New Business:

Balance Sheet:

The balance sheet was reviewed. After a brief discussion, David Burton made a motion to approve and it was seconded by Tim Love. All were in favor.

Executive Director's Report (click to see report):

Jane Holman gave an overview of her reports for July 18 and September 19 with updates on Facebook, Twitter, WCTV programming and analytics review. Jane was pleased the Chamber of Commerce rejoined WayNet.

A fairly lengthy discussion was held on the photo copyright and usage of WayNet pictures. A "no" decision was made on the photo request from Centerville High School.

It was decided the Programs Committee would be the sounding board for future requests. David Burton was gracious enough to volunteer his time if Jane needs assistance following up. He will also work with the Programs Committee.

Adjournment:

Before we adjourned Jenie thanked Rob Tidrow for graciously hosting our Annual Meeting on short notice.

Being no further business Jenie Lahmann asked for a motion to adjourn. Beth Fields made the motion and Rob Tidrow seconded. All approved and the meeting was adjourned at 1:05 p.m.
