Annual Board Meeting Minutes - November 19, 2020

Present:

  • Dakota Collins (Earlham College)
  • Jenie Lahmann, President (Morrisson-Reeves Library, InSites Web Design)
  • Lynn Knight, Secretary (Community Member)
  • Richard Peterson (Porter Advertising, LLC)
  • Jane Holman (Executive Director, WayNet.org, Ex-Officio)

Absent:

  • Tim Love (Reid Health)

Call to Order:

President Jenie Lahmann called the meeting to order at 12:02 p.m.

Old Business

Reviewed Minutes from the last meeting:

Call for motion to approve by: Richard Peterson, Seconded by: Dakota Collins and approved by Board.

New Business:

Call for Vote: Proposed New Board Member, Bridget Hazelbaker from RCS

Call for motion to approve by: Dakota Collins , seconded by: Lynn Knight and approved by Board.

Discussion:

Discussed possible board members from First Bank, Three Rivers, as organizations to consider for possible Board members.

Prior to leaving Kate Kotan provided a list of options members.

Board discussed focusing on for profit recommendations before not for profit members.

Would like to have one more possible Board member suggestion before December meeting.

Suggestions for possible Board members to be forwarded to Jenie or Jane.

When the City replaces Kate that person might be good to consider.

Full Board is 12, but 8 would be a good number for the organization.

Dakota was asked if the City intends to pay their membership this year. Dakota will check and report at next meeting.

Review: 2021 Projected yearly budget

Reviewed projected limited work hours for Jane and her hourly rate. Hours determined on need.

Confirmed Office Supplies Jane will continue to print rather than order.

Professional Services expenses discussed.

Insurance, we are holding the line, with no increase.

Call for motion to approve by: Richard Peterson, seconded by: Dakota Collins and approved by Board.

Director's Report

  • For Wayne County Connections, Jane has notified them that she plans to step down. She will continue to be available until a replacement is found.
  • Jane asked the Board if we want Waynet want to stop being connected with Wayne County Connections, although Waynet will post videos on our site.
  • Jane reported that views for Waynet page are very low for our page.
  • Board agreed to wait until first of year to confirm Jane/Waynet totally stepping down from Wayne County Connections.
  • Finished updating sports and entertainment pages
  • Double checked all the links
  • Took 6.5 days of vacation
  • Reminded Reid Marketing about their photo's.
  • Met with United Way reps
  • Took photo's on election day, good to use for next year
  • Jane will be taking furlough: November 23 - December 4th

Oliver P. Morton, who served as the 14th Governor of Indiana during the American Civil War, was a Wayne County native. His family home still stands along the National Road on the west side of Centerville.
