Annual Board Meeting Minutes - October 15, 2020

Present:

  • Tim Love (Reid Health)
  • Kate Kotan (City of Richmond)
  • Jenie Lahmann, President (Morrisson-Reeves Library, InSites Web Design)
  • Lynn Knight, Secretary (Community Member)
  • Richard Peterson (Porter Advertising, LLC)
  • Jane Holman (Executive Director, WayNet.org, Ex-Officio)

Absent:

  • Dakota Collins (Earlham College)

Call to Order:

President Jenie Lahmann called the meeting to order at 12:03 p.m.

Old Business

Discussed the need to fill open positions on the Board;

  • Full board would be 12, we have 5.
  • Discussed ideas on areas where we should consider new members: At least one city position, one from RCS, someone from a bank.
  • Board members agreed to come up with recommendations.
  • Goal was set to at least bring in two more by end of year.

Reviewed Minutes from the last meeting:

Call for motion to approve by: Richard Peterson, Seconded by: Kate Kotan and approved by Board.

New Business:

Kate announced that she has accepted position in Indianapolis. She has submitted her resignation as a Board member effective immediately.

Kate thanked the Board for opportunity to serve on the Board and acknowledged the encouragement she received from the Board.

Kate offered to make recommendations on future new members for the Board with an emphasis on representatives from the city.

Balance Sheet Review

One of the highlights from the Balance Sheet shared Jane was that Dakota Collins made a donation. His donation was noted by the Board.

Call for motion to approve by: Kate Kotan, seconded by: Tim Love and approved by Board.

Next Meeting: Thursday, November 19, 2020 at noon

Statement Projection Review

Discussed outstanding membership payments:

Asked if any of the Board have contacts for the representative of the group who have not paid.

Jane will talk to Dakota about City's support for next year due to city's projected financial budget for next year.

Director's Report

  • Jane shared that she is wanting to step down from representing Waynet for the Whitewater Television's Wayne County Connections. She asked the Board is there was any of the Board members that would be willing to take over her role.
    • The Board asked if Jane would provide a history of position/role and an outline of job duties including how many hours weekly/monthly on average went to this role.
    • It was discussed that maybe Wayne County Foundation would like to partner in the position every other month.
  • Jane shared that she continues to work from home.
  • Continuing to print letter head rather than purchase.
  • Working with Marketing at Reid, for auto upload on their information to our site.
  • Knowing that we should consider updating our web presence took one day to explore options.
  • Will send to Board, how time is spent.
  • Did not get out too much taking photos.

Adjournment:

With no further business to discuss, meeting was adjourned at 12:41 p.m.
