Board Meeting Minutes - January 17, 2013

Present:

  • Dudley Fetzer (First Bank Richmond)
  • Bill Pendley (Potter's Wheel Bed and Breakfast)
  • Richard Peterson (Porter Advertising, LLC)
  • Beth Fields (Wayne County Government)
  • David Burton (Burton & Simpkin)
  • Tim Love (Reid Hospital and Health Care Services)
  • Aubrey Blue (Cope Environmental Center)
  • Jane Holman (Executive Director, WayNet.org, Ex-Officio)

Call to Order:

President Jenie Lahmann called the meeting to order at 12:00 p.m. in the Richmond Power and Light Conference Room.

Old Business:

The November 15, 2012, minutes were reviewed. Dudley Fetzer motioned acceptance of the minutes and Bill Pendley seconded the motion. It passed unanimously.

New Business:

Aubrey Blue, who will be filling Jody Johnson's vacated position, was introduced. After a brief welcome from each member in attendance, a motion was made to accept Aubrey Blue to fulfill the 2012-2014 term. Richard Peterson made a motion to approve and Rob Tidrow seconded. All were in favor.

The balance sheet was reviewed. Jane Holman advised we ended the year with a $2,274 deficit. Factors affecting this were discussed. Randy Baker made a motion to approve the balance sheet and it was seconded by Bill Pendley. All were in favor.

Jenie Lahmann presented a resolution, from MRL, which would clarify Jane Holman's employment. A lengthy discussion was held with one item, whether Jane is considered an exempt or non-exempt employee, still unanswered. This will be clarified at our next meeting. A motion was made to approve the resolution by David Burton and seconded by Dudley Fetzer. This motion received unanimous approval. (Resoultion: page 1 | page 2>

Jane has been called to jury duty next week so she will be out of the office.

Jane Holman gave a brief update of the activities and projects she has been involved in since our last meeting.

Adjourment:

Being no further business, Jenie Lahmann asked for a motion to adjourn. Bill Pendley made the motion and Rob Tidrow seconded. All approved and the meeting was adjourned at 12:55 p.m.
