Board Meeting Minutes - Thursday, November 17, 2011

Meeting Called to Order:

Vice-President Jenie Lahmann called the meeting to order at 12:02 p.m. in the Richmond Power and Light Board Room.

Old Business:

The September 15, 2011 minutes were reviewed.  Dudley Fetzer motioned to approve as presented and David Burton seconded the motion.  It passed unanimously.

New Business:

The balance sheet was reviewed.  Tim Love made a motion to approve and it was seconded by Randy Baker.  All were in favor.

At this point, new ex-officio board member, Paris Pegg, Director of Morrisson-Reeves Library, arrived. Everyone introduced themselves and Paris shared her background and interests.

Jane presented the proposed budget for 2012, and noted some changes from the 2011 budget, including a reduction in the Communications line item, due to our change in vendors, and a small increase in the Office Supplies line item. The board entered a discussion about several additional line items, removing dues for the Wayne County Area Chamber of Commerce, and adding $100 to Professional Services for setting up a simple mobile site and additional domain registration, as described by Gary Arndts.

At this point, Jane was asked to leave the room while the board discussed salary structure. A 3% increase was approved, beginning January 1, 2012. The board noted their appreciation the services she donates to the organization as well her photography efforts.

Additional discussion continued concerning adding line items for upgrading the organization's computer, monitor and Photoshop software. Jodi Johnson recalled that the organization had a windfall of $5,285.20 in 2010 which should allows us some leeway with the budget. Tim Love indicated there may be opportunities for a donation of a 22" LCD Monitor. He will pursue this option, but the consensus was that these items were important to the smooth functioning of the organization and that not only should they be added as a budget line item, but that efforts to source and transition to new hardware should begin as soon as possible.

Rob Tidrow made a motion to approve the budget as amended, Dudley Fetzer seconded the motion. The motion passed unanimously.

Two fee waiver applications were presented to the board for their review. The board reviewed the application, letter of determination and budget/balance sheet of the Richmond Community Orchestra and First Church of the Nazarene. After weighing multiple factors, Gary Arndts motioned to accept the fee waiver application of the Richmond Community Orchestra. Jodi Johnson seconded the motion, and it passed unanimously. David Burton motioned to respectfully decline the fee-waiver for the First Church of the Nazarene, noting that we welcome them as a Not-for-Profit member. Dudley Fetzer seconded the motion, which passed unanimously. Discussion on the fee-waiver process continued, with the board requesting that a review of the process be added to the agenda for the January 19, 2012 meeting.

Executive Director’s Report (click to see the report):

As it was past 1:00 p.m., Jane Holman gave a quick overview of the Director's report, noting two new not-for-profit members as well as list of pages on the site that have been converted to the new layout.

A final order of business, Jane noted her interest in having the Marketing Committee help with organization and content for introducing the "Join WayNet" section of our site. Gary Arndts, as the head of that committee, noted he would assist with the discussion.

Adjournment:

Being no further business Jenie Lahmann asked for a motion to adjourn which all approved. The meeting was adjourned at 1:07 p.m.

Wilbur Wright, co-inventor of the airplane with his brother, Orville, attended school in Richmond, Indiana. His family moved to Dayton, Ohio in June of 1884 just before he would have received his diploma from Richmond High School. The diploma was awarded to him posthumously on April 16, 1994.
