WayNet Board Meeting

Call to Order:
President Gary Arndts called the meeting to order at 12:04 p.m.
in the Richmond Power and Light Conference Room. Tim Love moved that
the minutes of the November meeting be approved. Seconded by Dudley
Fetzer. Motion carried.
Old Business:
Jane presented the 2006
Balance Sheet. Tom Kirk moved that the report be approved. Seconded by
Valerie Biggs. Motion carried.
501 (3) c Application
Jane also reported that the fee from Gillam and Zetzel has been
discounted to $1800. A letter has been received from the IRS informing
us of the information and changes needed to move our application for a
501(c)(3) status. John Zetzel will be contacting the IRS agent who
wrote the letter to clarify the information in the letter.
The Board discussed the
pros and cons of continuing the process for the change in status, and
reviewed the Membership Level information on the website. The Board
also discussed the “sponsor” versus “member” designations. In order to
continue to pursue the status change, there would need to be major
changes in the status of “members”, and the website would need a major
overhaul to reflect the items required in the IRS letter. All business
would need to be included in the website—members or not members.
Director’s Report:
Jane presented a newly created Waynet, Inc. Gift Acceptance Policy
2007 and Waynet, Inc. Real Estate Policy 2007. It was decided to
accept the policy as written. (Policies are available on the website.)

The next meeting will be held on January 25,
2007, at noon at Richmond Power and Light. Meeting adjourned.
